1. Agreement, authority and scope
These Terms govern your access to and use of midascompute.com, the protected platform demo, the private data room, secure-share pages, sourcing and administrative workspaces, and related pages operated by Midas Compute (together, the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
The Site is intended for business users who are legally capable of entering into these Terms. If you access or use the Site for an organisation, you represent that you are authorised to act for that organisation and that both you and the organisation will comply with these Terms. Additional access conditions may apply to a protected area or particular document set.
2. Informational purpose
Site content is provided for general business discussion and evaluation. It is not an offer or solicitation to buy or sell securities, an allocation or reservation of compute or hosting capacity, a commitment to deliver a project, or legal, tax, engineering, investment, accounting or other professional advice. Any transaction, capacity allocation, service commitment or commercial relationship remains subject to diligence, internal approvals, definitive documentation and the terms of the relevant signed agreement.
Nothing on the Site creates a partnership, agency, fiduciary duty, employment relationship or other obligation unless a written agreement signed by an authorised Midas representative expressly provides otherwise.
3. Forward-looking and technical information
Plans, timelines, power and capacity figures, configurations, equipment selections, performance expectations, renders, maps, commercial assumptions and other projections may be illustrative or forward-looking. They may change as engineering, permitting, interconnection, procurement, financing, construction, counterparties, technology and market conditions develop. References to potential capacity, availability, efficiency or performance are not warranties or guarantees.
Images and diagrams may be conceptual, may not be to scale and may combine current conditions with proposed infrastructure. You should conduct your own technical, commercial, financial and legal diligence and rely only on representations contained in definitive documentation applicable to the relevant transaction.
4. Protected access and confidential materials
Passwords, tokens, invitation links and secure-share links are provided only to authorised recipients. You must keep them secure, use them only for their intended purpose, and notify Midas promptly if you suspect loss, disclosure or misuse. You must not share access, permit another person to use your credentials, attempt to bypass controls or access material outside the permission granted to you.
Materials identified as private, confidential or non-public may be used only to evaluate the purpose for which access was granted. They may not be copied, redistributed, published, used competitively or disclosed to another person except as permitted in writing by Midas or by an applicable confidentiality agreement. If these Terms conflict with a signed non-disclosure agreement, data-room access letter or other written agreement, that agreement prevails for the relevant confidential material.
5. Permitted use
You may use the Site only for lawful evaluation of Midas and its potential business relationships. You must not:
- probe, scan, test, disrupt, overload or interfere with the Site, its availability or its security;
- attempt unauthorised access to protected areas, accounts, systems or information;
- scrape, crawl, bulk-download, index, reverse engineer or automate access except with Midas’s written permission;
- introduce malware, malicious code or content that could damage, disable or impair the Site;
- remove ownership, confidentiality, copyright or security notices from any material;
- misrepresent your identity, affiliation, purpose or authority;
- use the Site to infringe rights, violate law, compete unfairly or facilitate another prohibited activity; or
- use Site content in a public statement, marketing material or investment communication in a misleading or unauthorised way.
6. Information you submit
You are responsible for information you submit through the Site. You represent that it is accurate to the best of your knowledge, that you have the authority and necessary rights to provide it, and that its submission does not breach a duty owed to another person. Do not submit unlawful material, malicious code, confidential information belonging to an unrelated third party or sensitive personal information that is not necessary for the relevant business enquiry.
You grant Midas permission to use submitted information to respond to the enquiry, assess the proposed relationship, operate and protect the Site, maintain appropriate records and perform any other purpose described at the point of collection or in our Privacy Notice.
7. Intellectual property and limited licence
The Site and its content, including designs, text, graphics, renders, photographs, maps, diagrams, data compilations, logos, trade names, interfaces and software, are owned by or licensed to Midas and are protected by applicable intellectual-property and other laws. Subject to these Terms, Midas grants you a limited, revocable, non-exclusive, non-transferable right to view and use the Site for its intended business-evaluation purpose.
No ownership right or commercial licence is transferred. You may not reproduce, modify, distribute, publish, license, sell, create derivative works from or otherwise exploit Site content unless Midas has expressly permitted that use in writing.
8. Feedback
If you voluntarily provide suggestions or feedback about the Site or Midas’s services, you permit Midas to use that feedback without restriction or payment, provided that this does not give Midas ownership of your pre-existing intellectual property or override a written confidentiality obligation.
9. Third-party material and links
The Site may display third-party names, information or material and may link to third-party websites or services. Midas does not control and is not responsible for their content, availability, accuracy, security, terms or privacy practices. A reference or link does not imply endorsement, affiliation or responsibility unless expressly stated. Your use of a third-party service is governed by that service’s own terms.
10. Availability, suspension and changes
Midas may update, correct, restrict, suspend or withdraw any part of the Site or any permission to use it at any time. We may revoke credentials, secure links or workspace access where an evaluation ends, a permission expires, security requires it or these Terms may have been breached. We are not required to preserve access to a particular document, version or feature.
The Site may be unavailable during maintenance or because of network, provider, security or other conditions outside our control. You are responsible for maintaining any systems, connectivity and compatible browser needed to use it.
11. Security notices
If you suspect unauthorised use of credentials or identify a possible vulnerability affecting the Site, notify info@midascompute.com promptly. Do not exploit the issue, access data beyond what is necessary to describe it, disrupt the Site or disclose the issue publicly before Midas has had a reasonable opportunity to investigate and address it.
12. Disclaimers
To the maximum extent permitted by law, the Site and all Site content are provided "as is" and "as available." Midas disclaims all express and implied warranties, representations and conditions, including merchantability, fitness for a particular purpose, title, non-infringement, completeness, accuracy and uninterrupted or error-free operation. We do not warrant that the Site will be secure, free from harmful components or suitable for any particular diligence or investment decision.
You use and rely on the Site at your own risk. The exclusions in these Terms apply only to the extent permitted by applicable law and do not affect rights that cannot lawfully be waived.
13. Limitation of liability
To the maximum extent permitted by law, Midas and its personnel, affiliates, contractors and advisers will not be liable for indirect, incidental, special, exemplary, consequential or punitive loss, or for loss of profits, revenue, opportunity, anticipated savings, data, business interruption or goodwill, arising from or connected with the Site, inability to access it, or reliance on its content.
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited. Any liability arising under a separate signed agreement is governed by that agreement rather than this section.
14. Specific agreements prevail
A signed non-disclosure agreement, data-room letter, order form, hosting agreement, services agreement, financing document or other definitive agreement prevails over these Terms for its specific subject matter. Site content does not amend a signed agreement unless the amendment is made in the manner required by that agreement.
15. Administrative provisions
If any provision of these Terms is found unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect. A delay or failure by Midas to enforce a provision is not a waiver. Headings are for convenience and do not change the meaning of the Terms.
You may not assign or transfer your rights to protected Site access without Midas’s written consent. Midas may transfer these Terms in connection with a financing, reorganisation, merger, acquisition, sale of assets or transfer of the Site. Except for a separate written agreement that expressly applies, these Terms constitute the entire agreement concerning use of the Site.
16. Privacy and changes to these Terms
Our Privacy Notice explains how we handle personal information, and our Cookie Notice explains the browser storage used by the Site. We may update these Terms to reflect changes in the Site, our operations or applicable requirements. The effective date above identifies the latest revision. Continued use after revised Terms are published constitutes acceptance to the extent permitted by law.
